VF Corporation Announces Pricing of $3 Billion of Senior Notes
DENVER--(BUSINESS WIRE)-- VF Corporation (NYSE: VFC) announced today that it has priced its previously announced offering of senior notes. The offering consists of four tranches: $1 billion aggregate principal amount of unsecured senior notes due 2022 (the “2022 Notes”) priced at 99.982% of the aggregate principal amount with a coupon of 2.050%, $750 million aggregate principal amount of unsecured senior notes due 2025 (the “2025 Notes”) priced at 99.827% of the aggregate principal amount with a coupon of 2.400%, $500 million aggregate principal amount of unsecured senior notes due 2027 (the “2027 Notes”) priced at 99.836% of the aggregate principal amount with a coupon of 2.800% and $750 million aggregate principal amount of unsecured senior notes due 2030 (the “2030 Notes” and, together with the 2022 Notes, 2025 Notes and 2027 Notes, the “Notes”) priced at 99.785% of the aggregate principal amount with a coupon of 2.950%. The sale of the Notes was underwritten by Barclays, BofA Securities, J.P. Morgan and Morgan Stanley as representatives of the underwriters. HSBC, ING, US Bancorp and Wells Fargo Securities also served as joint bookrunners for the Notes.
The Notes offering is expected to close on April 23, 2020, subject to customary closing conditions.
The Company intends to use the net proceeds from the debt offering to repay the borrowings under its senior unsecured revolving credit facility. The Company intends to use any remaining net proceeds for general corporate purposes.
